Digital Product Nature<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e6a194a elementor-widget elementor-widget-text-editor\" data-id=\"e6a194a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\tAll Products sold by Upficient are digital in nature and are delivered electronically. No physical goods will be shipped.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-ce04837 e-flex e-con-boxed e-con e-parent\" data-id=\"ce04837\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-b0fc861 elementor-widget elementor-widget-heading\" data-id=\"b0fc861\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">3. ClickUp Plan Requirements<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-fd5b650 elementor-widget elementor-widget-text-editor\" data-id=\"fd5b650\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Use of Upficient templates requires an active <strong>ClickUp Business Plus<\/strong> or <strong>Enterprise subscription.<\/strong> Customers are solely responsible for ensuring they have the correct ClickUp plan before purchasing or using any Upficient Product. Upficient is not liable for incompatibility issues arising from the Customer\u2019s ClickUp plan, and no refunds will be granted on the basis of incorrect ClickUp subscription levels.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-f58c1ae e-flex e-con-boxed e-con e-parent\" data-id=\"f58c1ae\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-960303e elementor-widget elementor-widget-heading\" data-id=\"960303e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">4. Consideration and Fees<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-844213c elementor-widget elementor-widget-text-editor\" data-id=\"844213c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\tAll fees for Products are as listed on Upficient\u2019s website at the time of purchase and are payable in full at the time of order. Fees for digital products, including Premium and Premium Plus subscriptions, are non-refundable, except where required by law.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-6bc2965 e-flex e-con-boxed e-con e-parent\" data-id=\"6bc2965\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-411ffd2 elementor-widget elementor-widget-heading\" data-id=\"411ffd2\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">5. Refund Policy<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-9bca936 elementor-widget elementor-widget-text-editor\" data-id=\"9bca936\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><span style=\"font-weight: 400;\">Due to the digital nature of our Products, all sales are final and non-refundable once access has been granted. We do not offer refunds for individual template purchases, except in cases of duplicate transactions or a verifiable failure in delivery. It is the Customer\u2019s responsibility to review all purchase details prior to completing the transaction.<\/span><\/p><p><span style=\"font-weight: 400;\">Customers purchasing a Premium or Premium Plus Annual Subscription may request a cancellation and full refund <\/span><b>within thirty (30) days<\/b><span style=\"font-weight: 400;\"> of purchase, provided no Product has been used during that period.<\/span><\/p><p><span style=\"font-weight: 400;\">For the purposes of this Policy, <\/span><b>\u201cProduct use\u201d shall include the download or receipt of any template<\/b><span style=\"font-weight: 400;\">, whether by:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Clicking a download, access, or request button,<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Having the template appear in the Customer\u2019s user template section, or<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Otherwise receiving possession of the template, regardless of whether the file has been opened or applied.<\/span><span style=\"font-weight: 400;\"><br \/><\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">If any Product use occurs during the subscription period, the transaction shall be deemed completed, and no refund will be granted. No refunds will be granted beyond the thirty (30) day period under any circumstances.<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-eb9b5ec e-flex e-con-boxed e-con e-parent\" data-id=\"eb9b5ec\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-a295dcb elementor-widget elementor-widget-heading\" data-id=\"a295dcb\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">6. Subscription Terms (Annual)<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a5521dd elementor-widget elementor-widget-text-editor\" data-id=\"a5521dd\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Subscription payments for Premium and Premium Plus plans are billed in a single payment on an annual basis. Subscribers will receive an email notification in the eleventh (11th) month of their subscription term, reminding them of the upcoming renewal and providing instructions for cancellation should they choose not to renew. If the Subscriber does not cancel the subscription through their Upficient online profile prior to the renewal date, the subscription will renew automatically for an additional twelve (12) months, and the corresponding subscription fee will be charged.<\/p><p>It is the sole responsibility of the Subscriber to ensure that they monitor and check the email address associated with their Upficient account. Upficient shall not be held liable for any failure by the Subscriber to read, receive, or act upon the reminder email. Once a subscription has renewed, no refund, whether full or partial, shall be issued.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-7fecb1b e-flex e-con-boxed e-con e-parent\" data-id=\"7fecb1b\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-736f441 elementor-widget elementor-widget-heading\" data-id=\"736f441\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">7. Automation Usage &amp; ClickUp Plan Limitations<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-dc8353a elementor-widget elementor-widget-text-editor\" data-id=\"dc8353a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Upficient templates may include pre-configured automations supporting specific workflows at various levels of the workspace hierarchy within ClickUp. Use of these automations is subject to the automation action limits of the Customer\u2019s ClickUp subscription plan, including but not limited to <strong>ClickUp Business Plus<\/strong> or <strong>Enterprise.<\/strong><\/p><p>The Customer acknowledges that ClickUp enforces monthly automation action limits and that importing, activating, or using Upficient templates may increase automation usage. If these limits are exceeded, ClickUp may pause or restrict automations within the Customer\u2019s workspace.<\/p><p>Upficient shall not be responsible for any automation limits being reached or exceeded, any paused or restricted automations, or any operational impact, data delays, or workflow interruptions resulting from ClickUp plan limitations.<\/p><p>The Customer is solely responsible for monitoring automation usage, reviewing and managing automations included in Upficient templates, and ensuring their ClickUp subscription level is appropriate for their intended use. No refunds, credits, or compensation will be issued due to automation limits, paused automations, or incompatibility with the Customer\u2019s automation allowance.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-b194d9e e-flex e-con-boxed e-con e-parent\" data-id=\"b194d9e\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-5a7c103 elementor-widget elementor-widget-heading\" data-id=\"5a7c103\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">8. Intellectual Property, Template Usage, Plagiarism &amp; Resale Restrictions<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2982398 elementor-widget elementor-widget-text-editor\" data-id=\"2982398\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\tAll Products, including all templates, business operating systems, instructional materials, and related content (collectively, \u201cMaterials\u201d), are and remain the sole intellectual property of Upficient. All rights, title, and interest in and to the Materials are reserved by Upficient. Customers are granted a non-exclusive, non-transferable license to use the Materials solely for their personal or internal business purposes. Redistribution, resale, sublicensing, or any unauthorized sharing of the Materials, whether in original or modified form, is strictly prohibited. Customization of templates is permitted for personal or internal business use only. Any act of plagiarism or misrepresentation of the Materials as your own work is strictly forbidden.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-8c2bb3e e-flex e-con-boxed e-con e-parent\" data-id=\"8c2bb3e\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-d92355e elementor-widget elementor-widget-heading\" data-id=\"d92355e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">9. Enforcement &amp; Remedies<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-74dbe64 elementor-widget elementor-widget-text-editor\" data-id=\"74dbe64\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\tAny unauthorized use, distribution, resale, or misrepresentation of the Materials constitutes a material breach of this Agreement. Upficient reserves the right to immediately suspend or terminate the Customer\u2019s access to any Products without refund in the event of such breach. Upficient further reserves the right to pursue all remedies available at law or in equity, including but not limited to injunctive relief, monetary damages, and recovery of attorney\u2019s fees and costs incurred in enforcing this Agreement.\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-3150e2b e-flex e-con-boxed e-con e-parent\" data-id=\"3150e2b\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-e629bf9 elementor-widget elementor-widget-heading\" data-id=\"e629bf9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">10. Disclaimer of Guarantee<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ee9ed27 elementor-widget elementor-widget-text-editor\" data-id=\"ee9ed27\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\tUpficient makes no guarantees regarding the results, performance, or outcomes that may be achieved through use of the Products. Effectiveness depends on a variety of factors outside of Upficient\u2019s control, including the Customer\u2019s own business practices and implementation. All Products are provided on an &#8216;as-is&#8217; basis, without warranties of any kind, either express or implied.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-020fc77 e-flex e-con-boxed e-con e-parent\" data-id=\"020fc77\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-d9f95f1 elementor-widget elementor-widget-heading\" data-id=\"d9f95f1\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">11. Account Responsibility<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1e528d8 elementor-widget elementor-widget-text-editor\" data-id=\"1e528d8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\tYou are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. Sharing login access with others is strictly prohibited.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-9f85223 e-flex e-con-boxed e-con e-parent\" data-id=\"9f85223\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-7f1504f elementor-widget elementor-widget-heading\" data-id=\"7f1504f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">12. Jurisdiction<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5525e0c elementor-widget elementor-widget-text-editor\" data-id=\"5525e0c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\tThis Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Any legal proceedings arising under this Agreement shall be brought exclusively in the state or federal courts located within the State of Delaware, and the parties hereby consent to the personal jurisdiction of such courts.\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-b233599 e-flex e-con-boxed e-con e-parent\" data-id=\"b233599\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-e65b30f elementor-widget elementor-widget-heading\" data-id=\"e65b30f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">13. Binding Arbitration (Primary Method):<\/strong><br \/>Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, validity, interpretation, performance, breach, or termination, shall be finally resolved by <strong>binding arbitration<\/strong> administered by the <strong>American Arbitration Association (AAA)<\/strong> under its <strong>Commercial Arbitration Rules<\/strong>. The seat of arbitration shall be in <strong>Dover, Delaware, United States,<\/strong> and the arbitration shall be conducted in <strong>English<\/strong>. The arbitrator\u2019s award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.<\/p><p><strong>13.2. Small-Claims Court Exception:<\/strong><br \/>Notwithstanding the above, either party may elect to have a claim heard in a <strong>small claims court in Delaware, Unites States<\/strong> if the monetary amount in dispute qualifies for small-claims jurisdiction there. Election of this small claims option must be made in writing and filed during the applicable limitations period.<\/p><p><strong>13.3. Waiver of Certain Legal Rights:<\/strong><br \/>By agreeing to arbitration, both parties waive their right to try any dispute before a judge or jury, except in cases where small-claims court is invoked. Customers agree to indemnify and hold harmless Upficient from any claims, damages, or expenses (including reasonable legal fees) arising from their use or misuse of the Products.
